Terms of Service.

Effective date: June 11, 2026

Freshify is a trade name of Egencie, Inc., a Nevada corporation (“Freshify,” “we,” “our”). By visiting freshify.io or purchasing an engagement, you agree to these Terms of Service.

1. Services

Freshify offers fixed-price diagnostic, advisory, blueprint, and build engagements. Each engagement is scoped at the time of purchase and confirmed in a written scope statement sent within one business day of payment. Scope, deliverables, and timeline are governed by that scope statement.

2. Orders and payment

Payments are processed by Paddle.com Inc., the Merchant of Record for transactions on freshify.io. Paddle handles billing, payment processing, sales-tax/VAT collection, invoicing, and refund processing. Prices are listed in U.S. Dollars unless otherwise noted. Applicable taxes are added at checkout.

Engagements begin after a scheduled kickoff call. Recurring retainers renew on the same day each month and may be cancelled with 30 days’ written notice.

3. Refunds and cancellation

See our Refund Policy for full details. In summary: you may cancel any one-time engagement for a full refund at any point before the scheduled kickoff call. Once kickoff has occurred and delivery has begun, the engagement is non-refundable.

4. Deliverables and ownership

Upon full payment, you own the deliverable produced under your engagement — the diagnostic report, the blueprint, the source code, the documentation, and the deployed artifacts. Freshify retains ownership of the underlying frameworks, methodologies, templates, and reference implementations used to produce the deliverable (including but not limited to Sovereign Software™, Sovereign Modular Architecture™, and the 4-Layer Permission Architecture™).

5. Confidentiality

Both parties will protect information shared during an engagement — commercial, technical, or personnel-related — with the same care they apply to their own confidential information. We will not publicly reference your company in case studies or marketing materials without your written permission.

6. Acceptable use of freshify.io

You may not use freshify.io to:

• Violate any applicable law or regulation
• Attempt to gain unauthorized access to any systems or accounts
• Scrape, copy, or republish substantial portions of the site without permission
• Send unsolicited commercial messages through forms on the site

7. Warranties and disclaimers

Freshify provides services with reasonable professional skill and care. Beyond that, freshify.io and our deliverables are provided on an “as is” basis without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Freshify’s total liability arising out of or in connection with any engagement is limited to the amount you paid for that engagement. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.

9. Governing law

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Dane County, Wisconsin.

10. Changes to these terms

We may update these Terms from time to time. Material changes will be noted by updating the “Effective date” above. Continued use of freshify.io after a change constitutes acceptance of the updated Terms.
