Terms of Service.

These terms govern your use of freshify.io and any software product purchased from Freshify.

Effective date: July 4, 2026

Freshify is a trade name of Egencie, Inc., a Nevada corporation (“Freshify,” “we,” “our”). By visiting freshify.io or purchasing a product, you agree to these Terms of Service.

1. Products

Freshify sells software products for owned, modular software infrastructure:

  • Sovereign Foundation — a one-time software license covering the portal shell, module loader, Standard Module Interface, and three working sovereign modules (Users, Companies, Workspaces). Delivered as private GitHub repository access. Per-product commercial license, unlimited internal developer seats, no resale or sublicensing. The open Sovereign Framework repo (portal shell + Standard Module Interface spec + documentation) is released separately under the Apache 2.0 license.
  • Sovereign Dev Pass — a monthly subscription providing access to an AI review engine trained on the sovereign methodology, plus documentation, prompts, reference patterns, and updates for building sovereign modules.
  • Sovereign Pre-Builts — vertical-specific software licenses delivered as a one-time purchase. Pre-Builts are sold on request until general availability. Each Pre-Built requires an active Sovereign Foundation license.

2. Orders and payment

Purchases are made through Freshify’s online checkout or by direct invoice. Prices are listed in U.S. Dollars unless otherwise noted. Applicable taxes are added at checkout or invoicing.

The Sovereign Dev Pass subscription renews on the same calendar day each month and may be cancelled at any time. One-time products (Sovereign Foundation, Pre-Builts) are delivered as private GitHub repository access after payment clears and the buyer submits the access form. Foundation delivery targets one business day from access-form submission.

4. License and ownership

Sovereign Foundation license. Upon full payment and access grant, you receive a perpetual, worldwide, non-exclusive, non-transferable license to use, modify, and deploy the Sovereign Foundation code within your company for one product or platform. Unlimited internal developer seats. You may deploy the resulting product to your own end customers. You may not resell, sublicense, or repackage the Foundation as a standalone product, framework, or template.

Freshify intellectual property. Freshify retains ownership of the underlying frameworks, methodologies, templates, and reference implementations (including Sovereign Software™, the Sovereign Modular Architecture™, and the 4-Layer Permission Architecture™). The open Sovereign Framework repo is governed by the Apache 2.0 license as published in the repository.

5. Confidentiality

Both parties will protect non-public information shared in connection with a purchase — commercial, technical, or personnel-related — with the same care they apply to their own confidential information. We will not publicly reference your company in case studies or marketing materials without your written permission.

6. Acceptable use of freshify.io

You may not use freshify.io to:

  • Violate any applicable law or regulation
  • Attempt to gain unauthorized access to any systems or accounts
  • Copy or republish substantial portions of the site without permission
  • Send unsolicited commercial messages through forms on the site

7. Warranties and disclaimers

Freshify provides products with reasonable professional skill and care. Beyond that, freshify.io and our products are provided on an “as is” basis without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Freshify’s total liability arising out of or in connection with any product is limited to the amount you paid for that product in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.

9. Governing law

These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Clark County, Nevada.

10. Changes to these terms

We may update these Terms from time to time. Material changes will be noted by updating the “Effective date” above. Continued use of freshify.io after a change constitutes acceptance of the updated Terms.
